These Terms and Conditions constitute the agreement between VideophonePro and
the user (you) of VideophonePro's services. This agreement applies toward the
service and any hardware provided by VideophonePro for the use of that service.
By activating your services you acknowledge that you hae read and understood
these Terms and Condtions, that you are legally able to enter into this
agreement and that you agree to be bound by its terms. Additionally you agree
to be bound by the Privacy Policy also found on this website.
A. CHANGES TO THIS AGREEMENT
VideophonePro may make changes to these terms and conditions from time to time
at its discretion. Such changes will become binding on users, on the date
posted to the VideophonePro website. These terms and conditions, as posted,
supercedes all previous agreements and versions of the Terms and Conditions.
When VideophonePro makes such changes a notice will be posted on the website in
the 'News' section.
B. BILLING
Customer Payments
You must pay for any order or bill by either check or credit card (Visa,
MasterCard, American Express and Discover). VidoephonePro considers a check
payment received when the fund is deposited into VideophonePro's bank account.
VideophonePro considers a credit card payment received when VideophonePro
obtains a transaction authorization from the credit card processing network
accompanied with acceptable address verification and security code check
results that are determined by VideophonePro.
Order Processing
The total amount of a hardware or service activation order includes any
applicable taxes, pro rata monthly service charges and set up fees, and is due
at the time of placing the order. VideophonePro will not process an order until
the full payment is received. VideophonePro reserves the right to cancel any
order if the full payment is not received within 14 days after the order is
received.
Monthly Service Bill and High Usage Bill
VideophonePro will bill service subscription charges (including applicable
taxes and surcharges) monthly in advance. VideophonePro will bill service usage
charges monthly in arrears. These charges are included in monthly service bill.
VideophonePro reserves the right to bill any accumulated usage charges once the
total exceed $100. Such a bill is called high usage bill. VideophonePro
provides only online bills and will make best efforts to email you a new bill
notice everytime a new bill is created. It is your responsibility to keep your
email address updated with VideophonePro and to check your online bills on your
normal billing date of the month. VideophonePro is not responsible for any
failure in email delivery of new bill notices. The entire amount of a monthly
service bill is due on the due date indicated in the bill, which is at least 10
days after the billing date. The entire amount of a high usage bill is due
immediately. If your monthly service bill or high usage bill is not paid in
full after its due date, all your services are subject to suspension
immediately.
Auto Bill Payment
VideophonePro offers an auto bill payment option for monthly service bills,
high usage bills and early termination fees. This option allows you to use a
credit card to pay monthly service bills and high usage bills automatically on
their due dates, and any applicable early termination fees when assessed. To
use this option, you must sign an auto bill payment authorization form that
authorizes VideophonePro to charge the entire amount of a monthly service bill,
a high usage bill or an early termination fee on the credit card you provide on
the authorization form. It is your responsibity to keep the expiration date and
billing address of the credit card updated with VideophonePro, and to maintain
sufficient available credit for any upcoming charges. You have the right to
cancel or replace this authorization at any time. You may use a different
credit card for auto bill payment, provided that you give VideophonePro a new
signed authorization form with the new credit card information in it, which
will replace the current authorization when VideophonePro receives it.
VideophonePro reserves the right to cancel this authorization at any time for
any reason. In the event a charge on your auto bill payment credit card is
declined or reversed, your are still fully liable for all accrued charges.
You must notify VideophonePro, in writing, within 7 days of receiving your
credit card statement if you dispute any VideophonePro charges on that
statement or such dispute will be deemed waived. Billing disputes should be

Taxes, Fees and Surcharges
You are responsible for any applicable federal, state or other governmental
taxes, fees or surcharges now in force or enacted during the term of your
agreement that arise as a result of your usage of VideophonePro services.
Special Rate
Some services incur special rates above and beyond normal service rates. These
include, but are not limited to, 411/Directory Assistance and incoming calls to
a toll-free number from some payphones. Full rates are available on the
VideophonePro rates page.
Early Termination Fee
VideophonePro will charge an early termination fee when one of your monthly
billed services is cancelled by you between its 31st and 365th days (inclusive)
of activation.
C. SERVICES
Lawful Use
You agree to only use VideophonePro services and devices for lawful purposes.
VideophonePro reserves the right to terminate your service, immediately and
without advance warning, if it believes that you have violated this
restriction. If terminated you are still liable for the current months service
and any usage accumulated to that point.
Third Party Outage
You agree and understand that use of VideophonePro services relies on third
party services over which VideophonePro has no authority (such as electrical
power, Internet service, etc...). Loss of service with these third party
providers will affect your service and your service will, likely, not work
until you have restored these third party services. During this time
VideophonePro will continue to bill you and you will continue to be liable for
your monthly service charges. VideophonePro is not liable for any damages
resulting from your inability to use VideophonePro services caused by a third
party outage.
Stolen Device or Credential
You agree to notify VideophonePro immediate if your device is stolen or your
authentication information is compromised or if you become aware at any time
that your service is being stolen or used fraudulently. When you make this
notification you will include your account number, name, contact information
and any other information pertinent to VideophonePro to promptly correct the
issue. Failure to do so will result in charges and you will be liable for all
usage accrued until such notification has been made.
Telephone Number
You agree that VideophonePro is not providing a telephone service and that you
should not depend on it as a replacement for normal telephone service.
You agree that VideophonePro has made you aware that 911 SERVICE IS NOT
AVAILABLE THROUGH VIDEOPHONEPRO.
Toll-Free numbers provided by VideophonePro are only dialable within the United
States.
Directory Listing
You grant VideophonePro permission, by ordering and keeping VideophonePro
service, to list your videophone numbers, name, city, state and country in
the White Page Directory accessible by all VideophonePro customers. You may,
for a fee, choose to have any of your videophone numbers
unlisted.
